Adhoc announcement according to article 15 WpHG

Konstanz/Germany (pta026/03.06.2014/17:50) - 3 June 2014 - With decisions of 28 April and 1 May 2014 the local court of Konstanz opened insolvency proceedings concerning the assets of Sunways AG (SWW: GR, SWWG.DE, ISIN DE0007332207) with headquarters in Konstanz and Sunways Production GmbH with registered office in Arnstadt/Germany. Sunways Production GmbH is a wholly owned subsidiary of Sunways AG. The company has an annual production capacity of about 100 megawatts of crystalline silicon solar cells. Dr. Thorsten Schleich, the insolvency administrator appointed by the court, has today signed an agreement for the sale of the business operations of Sunways Production GmbH with effect from 1 June 2014. The creditors' committee of Sunways Production GmbH has agreed to the sale. The acquirer is Bluecell GmbH with registered office in Arnstadt. The newly founded company intends to resume the production of and trade with solar cells on the old site. Bluecell GmbH assumes all staff currently employed at Sunways Production GmbH and all assets of the company, with the exception of the real estate; this is rented from the insolvency assets. None of the existing liabilities of Sunways Production GmbH will be paid by the buyer. The proceeds from the sale of the business operations will not allow any payout to Sunways AG as subordinated creditor.
