Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On October 23, 2014, the Board of Directors of Navigant Consulting, Inc. (the "Company") elected Randy H. Zwirn as a director of the Company to serve in such capacity until the Company's 2015 Annual Meeting of Shareholders and until his successor is elected and qualified or until his earlier resignation, retirement or removal. In connection with his election as a director of the Company, Mr. Zwirn received an initial grant of 4,871 restricted stock units ("RSUs"), effective on October 23, 2014. The RSUs vest on the earlier of: (a) May 15, 2015 and (b) the date of the Company's 2015 Annual Meeting of Shareholders. There are no arrangements or understandings between Mr. Zwirn and any other person pursuant to which he was selected as a director of the Company. There are no transactions in which Mr. Zwirn has an interest requiring disclosure under Item 404(a) of Regulation S-K.
