SAN DIEGO — A New Jersey company will purchase a rival San Diego-based medical device-making company for $12.2 billion, according to a joint statement from the two companies.

Both boards of Franklin Lakes, N.J.-based Becton, Dickinson & Co. and CareFusion Corp. of San Diego unanimously approved the acquisition, agreeing that BD will pay $58 for each share of CareFusion in a deal that is expected to close in the first half of 2015.

“As part of BD, we see new growth opportunities for our products in global markets, new value we can create for our customers and new opportunities for our employees as part of what will become one of the largest global leaders in med-tech,”CareFusion Chairman and CEO Kieran Gallahue said in a statement.
