(b) On September 12, 2014, David Squier notified Wesco Aircraft Holdings, Inc.

(the "Company") that he is resigning from his position as a director, effective October 1, 2014. Mr. Squier's resignation is not as a result of any disagreement with the Company. The Company is in the process of identifying a successor to fill the vacancy created by Mr. Squier's resignation.
