Explanation of Responses:
1. On March 6, 2015, Federal-Mogul Holdings Corporation (the "Company") distributed, to each holder of record as of March 6, 2015, subscription rights to purchase shares of common stock of the Company (the "Rights Offering") in accordance with the terms set forth in a prospectus supplement related to the Rights Offering dated March 6, 2015, as amended and supplemented. The subscription rights were exercisable until March 23, 2015. The exact number of shares of common stock acquired by the reporting person pursuant to his exercise became known on March 24, 2015.
2. On March 24, 2015, the reporting person's exercise for his basic subscription privilege became final with respect to 4,001 shares of the Company's common stock.
