How to Start an LLC in California in 2024

The first step is the fun part: Name your LLC. California has a few requirements your business name needs to meet:

• Your name must be distinct from other active businesses in California
• It must include the phrase “limited liability company” or “LLC.” The words “limited” and “company” may be abbreviated to “Ltd.” and “Co.”
• It can’t include words that would confuse your business with a government entity, such as “treasury” or “state department”

Make sure your name is available by performing a California business name search on the California secretary of state’s website. If your name is already taken, you’ll need to choose a different one. LLC Name Reservation

If you’ve decided on an available name but aren’t ready to file the rest of your paperwork, you can reserve your California LLC name for up to 60 days through California’s online business filing system. That way, you can continue the planning process without worrying that someone else will take your name.

Trade Name and DBA Registration

Some businesses register under a formal LLC name and do business under a “trade name” or “DBA” (“DBA” stands for “doing business as”). This is essentially an alias for your business that doesn’t need to include the LLC designation. What is a registered agent? For LLC purposes, a registered agent is also known as an “agent for service of process,” as they are called in California. This is an individual or business entity that accepts tax and legal documents on behalf of the business.

Your agent must be over the age of 18 and have a physical address (not a P.O. box) in California. The agent may be a member, manager, or officer of the LLC, but can also be unaffiliated with the company. The LLC can’t serve as its own registered agent.

This service will be available during normal business hours to receive service of process and other important documents so you can focus on your business. Most states require you to file one document — the articles of organization (sometimes called a certificate of formation) — to officially start your LLC. File the Articles of Organization

You’ll first file your California articles of organization (also referred to as Form LLC-1). This form asks for the following information.

• LLC Name and business address
• Registered agent name and address
• Whether the members will collectively manage the LLC (a “member-managed” LLC) or the LLC will designate certain members or hire outside managers (a “manager-managed” LLC)

File the Statement of Information

Once the state accepts your articles of organization, you officially have an LLC! California also requires an initial “Statement of Information” to be filed with the state within 90 days of your LLC becoming official. You will need to renew the initial Statement of Information every two years, so long as you continue to operate your business in California. This is a type of annual reporting called a “Biennial Report” and can be done using Form LLC-12. This form must include the following:

• Your LLC’s name and California Secretary of State entity number
• The name and address of your agent for service of process
• A description of the type of business or services your LLC will provide
• The street address of the LLC’s principal executive office
• The LLC’s mailing address, if different from that of its principal executive office
• The name and addresses of any manager or chief executive officer (if no manager has been appointed, provide the name and business or residence address of each member)
• A valid email address if the LLC chooses to receive notices and notifications from the Secretary of State electronically

California is one of five states that requires businesses to create an operating agreement. LLC owners must have one either before or after formation, ideally in writing. This document outlines your business’s ownership structure and operational rules. It should detail important company information, such as powers and duties of members and managers, how profits and losses will be distributed, and buyout rules.

The operating agreement also serves a few important purposes that should make this document a priority for your new business:

• It provides written documentation that shows the intent of the members to limit their liability by forming the LLC — without an operating agreement, the structure of your business could be unclear or ambiguous to a third party

You don’t have to file this document with the state, but once an operating agreement is signed by the members of an LLC it acts as a binding contract. A signed copy of the agreement should be kept with other official records for the LLC.

Your operating agreement, for LLC purposes, needs to include specific information according to the California Revised Uniform Limited Liability Company Act:

• Relations among the members as members and between the members and the limited liability company
• The rights and duties under this title of a person in the capacity of manager
• The activities of the limited liability company and the conduct of those activities
• The means and conditions for amending the operating agreement

Part of doing business is paying taxes to the state and federal governments. You’ll likely need both a state and federal tax identification number for this reason.

California Business Entity Number

When the state accepts your LLC articles of organization, you’ll be given a 12-digit Secretary of State Business Entity number. You’ll use this number to verify your business’s identity with the state of California and meet annual filing obligations.

Federal Employer Identification Number (EIN)

You’ll also need a federal EIN if you have more than one member or plan to hire employees. An EIN is essentially a Social Security number for your business.
