Delta Lloyd: shareholders approve merger with NN Group.

(CercleFinance.com) - On Wednesday shareholders in Dutch insurer Delta Lloyd approved a merger with peer NN Group by a large majority, removing one of the final hurdles to the creation of a national heavyweight.


Given that the recommended public offer by NN Group was approved at the extraordinary general meeting, NN Group can declare its offer unconditional as soon as 67% of Delta Lloyd's shares are held and the terms of the offer have been satisfied.

From a technical viewpoint, the merger will be a triangular legal merger of Delta Lloyd into NN Group Bidco, whereby shareholders will receive listed ordinary shares in NN Group.
